By accessing or using Nivorius's services, website, or any products provided by Nivorius Inc. ('Nivorius', 'we', 'our', or 'us'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use our services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of our services after such notification constitutes acceptance of the updated Terms.

Nivorius provides AI-powered education platforms, business consulting services, and custom software solutions. The specific features and functionality of our services are described on our website and in any applicable service agreements.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

To access certain features of our services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these obligations.

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services in any way that violates applicable local, national, or international laws or regulations.

You agree not to transmit any material that is abusive, offensive, defamatory, or otherwise objectionable; to impersonate any person or entity; to interfere with or disrupt the integrity or performance of our services; or to attempt unauthorized access to any part of our systems.

For education platform users, you agree not to share account credentials with other users, misrepresent your identity or qualifications, or use the platform to facilitate academic dishonesty.

Nivorius and its licensors own all intellectual property rights in and to the services, including all software, designs, text, graphics, and other content. Nothing in these Terms grants you any right to use our intellectual property except as expressly set out in these Terms.

You retain ownership of any content you submit to our services ('User Content'). By submitting User Content, you grant Nivorius a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely as necessary to provide the services.

We respect intellectual property rights and will respond to clear notices of alleged copyright infringement in accordance with applicable law.

Certain services require payment of fees as described in our pricing page or applicable service agreements. All fees are in US dollars unless otherwise stated and are exclusive of taxes.

Subscription fees are billed in advance on a monthly or annual basis as selected. We will notify you at least 14 days before any price changes take effect.

Refunds are handled on a case-by-case basis. For subscription services, we offer a pro-rated refund if you cancel within 14 days of your initial purchase. After 14 days, we do not offer refunds except where required by law.

To the maximum extent permitted by applicable law, Nivorius shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our services.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of the fees paid by you to Nivorius in the twelve months preceding the claim or $100 USD.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

You may terminate your account at any time by contacting us at support@nivorius.com. We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms.

Upon termination, all rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
